Enthuzy Beta Tester Agreement

This agreement is between Enthuzy Holdings, LLC, a California limited liability company ("Enthuzy"), and you, regarding your access to the Enthuzy beta platform ("the Platform").
1. Confidentiality
The Platform, including its unreleased features, internal design materials, source code, and any non-public information Enthuzy shares with you about its business or roadmap ("Confidential Information"), is confidential and proprietary to Enthuzy. You agree to:
- Not disclose Confidential Information to any third party without Enthuzy's prior written consent.
- Not publish or share screenshots, screen recordings, or written descriptions of the Platform's unreleased features, except when submitting a bug report or feedback directly to Enthuzy through channels it provides.
- Not reverse engineer, decompile, or attempt to derive the source code of the Platform.
- Not reproduce or copy the Platform's source code, compiled assets, or specific visual design elements.
Note: this section is intentionally scoped to disclosure and reproduction of specific confidential materials — not to prohibit your general use of skills, knowledge, or ideas, which California law does not allow a confidentiality agreement to restrict (see notes below).
2. Feedback
Any feedback, suggestions, or ideas you voluntarily provide about the Platform become the property of Enthuzy, and Enthuzy may use them without compensation or attribution to you.
3. No Warranty — Beta Software
The Platform is provided "as is," in active development, and may contain bugs, incomplete features, or data loss. You acknowledge this is a testing environment, not a finished product, and agree not to rely on it for any critical or production purpose.
4. No Employment or Partnership Relationship
Your participation as a beta tester does not create an employment, agency, partnership, or joint venture relationship between you and Enthuzy.
5. Term
This agreement remains in effect for as long as you have access to the Platform. The obligations in Section 1 survive for one year after your access ends.
6. Remedies
For any misappropriation of trade secrets (as defined under the California Uniform Trade Secrets Act, Cal. Civ. Code § 3426 et seq.), Enthuzy may seek injunctive relief and any other remedies available under that statute, in addition to damages.
7. Termination
Enthuzy may revoke your beta access at any time, for any reason, without notice.
8. Governing Law and Venue
This agreement is governed by the laws of the State of California, without regard to conflict of law principles. Any dispute shall be brought exclusively in the state or federal courts located in San Diego County, California.
